Senior Tax Manager, Private Wealth
KEY PURPOSE:
This role will provide a high calibre candidate with the opportunity to work in a tax team which is dynamic, fast paced, innovative and entrepreneurial.
The successful candidate will work collaboratively with their UK and US counterparts and have the opportunity to share managerial aspects of the tax team’s operational, compliance and risk management responsibilities. They will be proactive people manager, covering the day-to-day management of the team and their development.
In this role you will work closely with finance, legal and compliance, investment execution, and other members of the Private Wealth Secondaries Solutions team in building this new business. You will develop and foster strong working relationships with all key stakeholders, as well as the tax service providers of the registered investment adviser and service providers to, private wealth products including HNW Feeder Funds, US Registered Investment Companies (“RICs”) and Luxembourg SICAVs invested in private equity secondaries transactions..
You will develop and maintain a network of contacts within tax and accounting firms, law firms, industry associations and other institutions, enabling you to deliver expert tax advice to key stakeholders with respect to all questions relating to product design and distribution, organisational and arrangements with applicable tax laws, treatment, and related matters.
KEY TASKS AND RESPONSIBILITIES:
Operational responsibilities:
• Ensuring the correct tax operations of the Coller Private Wealth products and related SPV holding structures
• Collaborating with Coller teams across different functions and with multiple fund administrators in several jurisdictions to ensure that structures are understood and managed correctly by respective service providers, specifically ensuring that RIC qualification requirements continue to be met
• Overseeing and managing multiple third-party service providers on a primarily outsourced compliance model.
• Understanding and managing the implications of cross jurisdiction investment structures and subsequent realisations
• Monitor internal controls around all private wealth products as it relates to tax.
• Resolving and responding internal queries
Compliance responsibilities:
• Oversee RIC Subchapter M testing (asset diversification, gross income, distribution requirements)
• Support analysis for tax provisions for semi-annual and annual financial statement production.
• Review RIC excise tax analysis and reporting
• Supervise and review tax service providers production of RIC/Fund tax reporting (1099/K1s, 1065, 1042, 8613, etc)
• Supervise and review tax service provider production of Luxembourg tax filings (subscription tax, partnership returns (Form 205F), Corporate Income Tax, Municipal Business Tax, and Net Wealth Tax (Form 500F), VAT filings.)
• Accountable for the delivery of key compliance projects as it relates to Private Wealth products and holding structures (US, UK, , Guernsey, ) prepared by service providers
• Supervise and review tax service providers production of investor reporting across various jurisdictions (e.g., UK, Switzerland, Germany, Belgium)
• Contributing to the automation and scalability of all aspects of the Firm’s tax compliance requirements
• Coordinating other ad hoc tax compliance across various jurisdictions
• Supervise and review tax service providers production of reporting under the various AEOI regimes (CRS, FATCA)
Risk Management responsibilities:
• Proactively identifying tax risks so that they can be managed effectively.
• Working closely with the Senior Tax Managers and Head of Tax and GP Operations in ensuring that necessary tax risks are communicated to Senior Management across the wider firm
QUALIFICATIONS AND EXPERIENCE:
Essential:
• Relevant experience working with private fund structures and overseeing tax compliance reporting on a quarterly and annual basis.
• Project management and implementation of tax related processes for new products.
• Professional Tax Qualification (e.g. CPA, ACA, CTA)
• Broad US Tax Knowledge
• Cross-border tax experience
• Experience working in a Financial Services tax role
Desirable:
• Experience with registered investment companies administrators, tax compliance providers and other relevant service providers.
• Global investor reporting
• Partnership tax background
• People management experience
